Damien — Separation & IP Terms (reference summary)
Parties
Teka LLC — sole owner of The Cloud.
Daniel Hanks — founder, Teka LLC.
Damien Schneider — stepping away from any cofounder role in The Cloud.
Summary of terms
Ownership. Teka LLC solely and exclusively owns The Cloud — all intellectual property, source code, designs, product, and associated assets. Ownership rests entirely with Teka LLC.
Cofounder status. Damien is not a cofounder of The Cloud and is voluntarily stepping away from any cofounder role, title, or claim. This is a clean, mutual parting.
IP & code use. The Cloud's IP and code stay with Teka LLC. Damien will not use, copy, reuse, distribute, or carry forward any of The Cloud's IP or code without clear, written permission from Teka LLC.
Standing. Both parts part on good terms, with no outstanding hard feelings or disputes recorded here.
Damien will not compete with The Cloud's core business and OS. The IP and projects we created were on the basis of building The Cloud and Damien is choosing to change his plans and focus elsewhere / remove himself from the project. We may choose resume at a new deal with new perspectives and understanding that are to be mutually agreed upon.
This is binding in the sense of a core logic, in writing, understanding and trust both parties to remain honorable and steadfast to what we mutually agree on this document.
